Riverways Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the Riverways application, website, services, data, mapping information, navigation tools, route guidance, and related content (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing, installing, or using Riverways, you acknowledge that you have read, understood, and agree to comply with these Terms. If you do not agree to these Terms, you must not use the Service.

2. Service Provided “As Is”

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.

Riverways makes no representations or warranties regarding the availability, reliability, suitability, completeness, or performance of the Service. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice.

3. Data Accuracy and Navigation Disclaimer

Riverways makes reasonable efforts to collect, verify, and maintain accurate information regarding inland waterways, routes, navigation data, points of interest, restrictions, and related content.

However, Riverways does not guarantee the accuracy, completeness, timeliness, reliability, or suitability of any information provided through the Service.

Waterway conditions, navigation restrictions, hazards, infrastructure, weather conditions, depths, lock operations, and other relevant information may change without notice.

You remain solely responsible for:

  • Exercising proper judgment and caution while navigating.
  • Complying with all applicable laws, regulations, notices, and navigation authorities.
  • Maintaining situational awareness at all times.
  • Verifying information through official sources where appropriate.
  • Ensuring the safe operation of your vessel.

Riverways shall not be liable for any injury, death, property damage, environmental damage, financial loss, delay, grounding, collision, or other damages arising from reliance upon information provided through the Service.

4. Advertisements and Data Usage

Riverways may display advertisements, sponsored content, promotional placements, or commercial messages within the Service.

Information relating to your use of the Service may be collected, processed, and used as described in our Privacy Policy. By using the Service, you acknowledge and agree to such collection and use of data in accordance with the Privacy Policy.

5.Ownership of Data, Mapping Content and Services

The Service, including but not limited to all mapping content, route calculations, navigation guidance, routing algorithms, waterways information, metadata, points of interest, lock information, graphical representations, databases, compilations, software, APIs, source materials, documentation, and associated intellectual property rights (collectively, the “Riverways Content”), are owned by or licensed to Riverways and are protected by copyright, database rights, trade secret laws, intellectual property laws, and other applicable laws.

No ownership rights are transferred to users through access to or use of the Service.

Riverways expressly reserves all rights not explicitly granted under these Terms.

6. Limited Licence

Subject to compliance with these Terms, Riverways grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service solely for your personal or internal business navigation purposes.

No licence is granted to:

  • Reuse Riverways Content outside the Service.
  • Create derivative works from Riverways Content.
  • Incorporate Riverways Content into another application, service, website, product, database, or platform.
  • Redistribute Riverways Content in any form.
  • Commercially exploit Riverways Content.

Any use outside the scope of this licence requires prior written consent from Riverways.

7. API Usage Restrictions

Any Riverways API, feed, endpoint, data service, routing service, map tile service, navigation service, or similar functionality (collectively, the “API Services”) may only be accessed:

  • Through Riverways-owned applications and services;
  • Through applications expressly approved in writing by Riverways; or
  • Pursuant to a separate written agreement with Riverways.

You may not:

  • Access API Services without authorisation.
  • Use API Services in any third-party application or service.
  • Proxy, relay, mirror, cache, expose, or republish API responses.
  • Create alternative interfaces to API Services.
  • Circumvent authentication, access controls, usage limits, or rate limits.
  • Share API credentials with third parties.
  • Use API responses to create independent datasets.
  • Use API Services to support competing products or services.

Riverways may suspend, throttle, restrict, or terminate API access at any time and for any reason.

8. Prohibited Data Extraction and Scraping

Except where expressly authorised in writing, you may not directly or indirectly:

  • Scrape, crawl, spider, harvest, mine, collect, extract, copy, index, cache, mirror, or aggregate data from the Service.
  • Use automated means to access the Service.
  • Use bots, crawlers, scrapers, scripts, browser automation tools, agents, headless browsers, AI agents, robotic process automation tools, or similar technologies.
  • Systematically access the Service for the purpose of collecting data.
  • Circumvent technical measures intended to prevent automated access.
  • Access the Service in a manner that sends excessive requests or imposes unreasonable load.
  • Use rotating IP addresses, proxy services, VPN networks, distributed infrastructure, or similar techniques to evade access controls.
  • Capture screenshots, imagery, rendered map data, route information, or displayed content for large-scale extraction purposes.
  • Store, archive, or maintain local copies of substantial portions of Riverways Content.

Any automated access not expressly authorised by Riverways shall constitute unauthorised use of the Service.

9. No Dataset Creation

You may not use Riverways Content, whether obtained through the application, website, APIs, screenshots, exports, route results, cached responses, printed materials, or any other means, to:

  • Build, improve, validate, enrich, verify, or maintain any geographic database.
  • Create navigation systems.
  • Create route-planning systems.
  • Create mapping products.
  • Create charting products.
  • Create waterway datasets.
  • Create points-of-interest databases.
  • Create digital twins.
  • Create geographic information systems (GIS).
  • Create commercial intelligence products.
  • Create competing products or services.

You may not combine Riverways Content with other datasets for the purpose of producing a new dataset.

You may not use Riverways Content as a source of ground truth or validation data.

10. AI and Machine Learning Restrictions

Riverways Content may not be used for any artificial intelligence, machine learning, deep learning, neural network, large language model, generative AI, retrieval system, recommendation engine, autonomous system, or similar technology.

Without limitation, you may not:

  • Use Riverways Content to train AI models.
  • Use Riverways Content to fine-tune AI models.
  • Use Riverways Content as training data.
  • Use Riverways Content for reinforcement learning.
  • Use Riverways Content for retrieval-augmented generation systems.
  • Use Riverways Content to create embeddings.
  • Use Riverways Content to evaluate, benchmark, test, validate, or improve AI systems.
  • Use Riverways Content to generate synthetic datasets.
  • Use Riverways Content in any machine-learning workflow.

This prohibition applies whether the content is obtained directly or indirectly, manually or automatically, through the Service or through any third party.

11. No Reverse Engineering

You may not:

  • Reverse engineer, decompile, disassemble, decode, translate, adapt, analyse, reconstruct, derive, or otherwise attempt to discover the source code, architecture, structure, design, data models, algorithms, routing logic, methodologies, or operational processes of the Service.
  • Derive route weighting models, navigation methodologies, routing rules, scoring systems, optimisation methods, or database structures.
  • Benchmark, profile, test, compare, evaluate, or analyse the Service for the purpose of reproducing its functionality.
  • Conduct systematic queries intended to infer underlying datasets or routing methodologies.

Any attempt to reproduce the functionality, datasets, routing engine, or operational characteristics of Riverways shall constitute a material breach of these Terms.

12. Monitoring and Enforcement

Riverways may monitor use of the Service to detect unauthorised activity, including data extraction, automated access, scraping, reverse engineering, API abuse, credential sharing, security threats, and attempts to create competing products.

Where Riverways reasonably believes a violation has occurred, Riverways may:

  • Suspend or terminate accounts.
  • Block users, organisations, devices, IP addresses, networks, or infrastructure.
  • Revoke licences.
  • Restrict API access.
  • Disable access credentials.
  • Pursue civil remedies.
  • Seek injunctive relief.
  • Recover damages, legal costs, investigation costs, and enforcement costs where permitted by law.

Users acknowledge that unauthorised extraction or reproduction of Riverways Content may cause irreparable harm for which monetary damages alone may be insufficient.

13. No Competitive Use

The Service, Riverways Content, APIs, route guidance, navigation outputs, mapping information, datasets, metadata, points of interest, waterway information, and all related materials may not be used, directly or indirectly, for the purpose of developing, operating, supporting, improving, benchmarking, validating, testing, training, marketing, or commercialising any product or service that competes with Riverways.

Without limitation, you may not use the Service or any Riverways Content to:

  • Develop or improve any mapping platform.
  • Develop or improve any navigation service.
  • Develop or improve any route-planning system.
  • Develop or improve any marine, canal, river, inland waterway, or boating application.
  • Develop or improve any geographic information system (GIS).
  • Develop or improve any location-based service.
  • Develop or improve any routing engine or route optimisation platform.
  • Develop or improve any commercial intelligence or analytics product.
  • Develop or improve any dataset intended for navigation, mapping, logistics, transportation, or geospatial applications.
  • Validate, benchmark, compare, evaluate, test, calibrate, or measure the performance of another product or service.
  • Populate, supplement, enrich, verify, correct, or maintain another database or dataset.
  • Create competing products or substantially similar services.

You may not use Riverways Content as a substitute for obtaining data directly from authoritative sources, licensors, navigation authorities, or other lawful providers.

You may not access the Service for the purpose of:

  • Analysing Riverways’ data coverage.
  • Measuring Riverways’ data quality.
  • Replicating Riverways’ data collection efforts.
  • Replicating Riverways’ routing methodologies.
  • Reconstructing Riverways datasets.
  • Identifying gaps in competing datasets.
  • Comparing Riverways outputs against another service for commercial purposes.

No user, organisation, contractor, consultant, researcher, data broker, artificial intelligence developer, mapping provider, navigation provider, software developer, or commercial entity may use Riverways Content or Services in a manner intended to create, support, improve, or operate a competing product or service without the express prior written consent of Riverways.

Any such use shall constitute a material breach of these Terms and may result in immediate suspension or termination of access, legal action, and claims for damages and injunctive relief.

14. Database Rights

To the extent applicable under the laws of England and Wales, the United Kingdom, the European Union, or any other relevant jurisdiction, Riverways claims and reserves all database rights, sui generis database rights, copyright, trade secret rights, and other intellectual property rights in the compilation, arrangement, verification, presentation, and organisation of Riverways Content.

The extraction, reutilisation, transfer, reproduction, dissemination, or commercial exploitation of all or any substantial part of Riverways Content is strictly prohibited.

Repeated or systematic extraction or reutilisation of insubstantial parts of Riverways Content that collectively reproduce, reconstruct, or replicate a substantial part of Riverways Content is likewise prohibited.

15. No Circumvention

You may not attempt to circumvent these Terms by:

  • Using multiple accounts.
  • Using third-party intermediaries.
  • Using contractors or agents.
  • Using affiliated companies.
  • Using automated systems.
  • Using AI systems.
  • Using data brokers.
  • Acquiring Riverways Content through another party.

Any action taken by a third party on your behalf shall be deemed an action taken by you for the purposes of these Terms.

16. Survival

The provisions relating to intellectual property, database rights, API restrictions, anti-scraping, AI restrictions, reverse engineering, confidentiality, no competitive use, limitations of liability, enforcement, and remedies shall survive termination of these Terms and termination of access to the Service indefinitely.

17. Prohibited Activities

You may not, directly or indirectly:

  • Scrape, harvest, extract, copy, collect, or systematically retrieve data from the Service.
  • Use automated tools, bots, crawlers, spiders, scripts, or similar technologies to access or collect data from the Service.
  • Reproduce, redistribute, republish, sell, sublicense, lease, or commercially exploit any data obtained from the Service.
  • Download substantial portions of the Service’s data.
  • Create derivative databases, mapping systems, navigation systems, route-planning systems, or geographic datasets using data obtained from Riverways.
  • Use Riverways data to train, develop, improve, or validate any competing product or service.
  • Print, reproduce, or distribute Riverways data beyond reasonable personal use.
  • Use Riverways directions, routing information, route calculations, or navigation guidance in any external product, service, platform, or application without prior written consent.
  • Circumvent technical measures designed to protect the Service or its data.

18. Proprietary Data and Reverse Engineering

The Service contains proprietary information, data structures, methodologies, databases, software systems, and intellectual property belonging to Riverways and its licensors.

You may not:

  • Reverse engineer, decompile, disassemble, analyse, decode, derive source code from, or otherwise attempt to discover the underlying structure of the Service.
  • Attempt to reconstruct or replicate Riverways datasets, routing engines, navigation algorithms, database structures, or proprietary methodologies.
  • Use the Service for benchmarking, competitive analysis, or dataset reconstruction purposes without written permission.

19. Third-Party Licensed Data

Certain information available through the Service may be provided under licence from third-party data providers.

Your access to such third-party data is limited solely to your use of the Service as permitted by these Terms.

Nothing in these Terms grants you any rights to reproduce, distribute, modify, extract, sell, license, or otherwise use third-party data outside the Service.

Third-party data may be subject to separate licence terms and conditions imposed by the relevant rights holders. You are solely responsible for complying with any such requirements.

20. Security and Abuse

You must not:

  • Interfere with or disrupt the operation of the Service.
  • Attempt unauthorised access to any systems, networks, databases, or infrastructure associated with Riverways.
  • Conduct denial-of-service (DoS), distributed denial-of-service (DDoS), or similar attacks.
  • Engage in any activity intended to impair the availability, performance, or security of the Service.

21. Enforcement and Account Suspension

Riverways reserves the right, at its sole discretion and without prior notice, to:

  • Suspend or terminate accounts.
  • Restrict access to the Service.
  • Block devices, IP addresses, or users.
  • Revoke access to any features or content.
  • Pursue legal remedies where appropriate.

These actions may be taken where Riverways reasonably believes a user has violated these Terms, engaged in prohibited activities, attempted unauthorised data extraction, infringed intellectual property rights, or conducted attacks against the Service or its infrastructure.

22. Limitation of Liability

To the maximum extent permitted by law, Riverways, its officers, employees, contractors, licensors, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising from or related to:

  • Use of or inability to use the Service;
  • Reliance upon any data or information provided;
  • Navigation decisions made by users;
  • Service interruptions or outages;
  • Errors, inaccuracies, or omissions in data;
  • Loss of profits, revenue, goodwill, business opportunities, or data.

23. Changes to These Terms

Riverways may update these Terms at any time. Updated Terms will become effective upon publication within the Service or on our website. Continued use of the Service after such updates constitutes acceptance of the revised Terms.

24. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
